These terms and conditions apply to all contracts for the sale of products and services by Emerald*.

Emerald will sell and the customer shall acquire any product or service subject to these terms and conditions.

Submitting the order online will constitute acceptance of these terms and conditions by the customer.

ALL PURCHASES ARE FOR THE CUSTOMER'S OWN PERSONAL USE ONLY AND MUST NOT BE FOR RESALE, REPRINTING, SYSTEMATIC DISTRIBUTION, WEB HOSTING, INCLUDING INSTITUTIONAL REPOSITORIES/ARCHIVES OR FOR ANY OTHER COMMERCIAL PURPOSE WITHOUT THE PERMISSION OF EMERALD.

1. Entering into a contract

1.1 Submitting the online order (via the Emerald Shop) is an offer made by the customer to Emerald.
1.2 Emerald may decide not to accept the customer’s offer. Only written confirmation (by e-mail or otherwise) of the order by Emerald will constitute acceptance by Emerald of the customer’s offer.
1.3 Emerald will not be bound by any communication made to it by the customer and Emerald is entitled to reject any order made by the customer.

2. Price and VAT

2.1 The price is set out in Emerald’s online catalogue published on the Emerald Shop website on the date of ordering.
2.2 VAT at the applicable rate is due on electronic services provided to customers located within the EU. For non-UK customers providing a valid EC VAT number or exemption certificate VAT may be zero-rated provided that delivery is to a non-UK address or services provided to a non-UK customer.
2.3 Emerald reserves the right to change the price on the change of a rate of VAT or any change in VAT regulations.

3. Payment

3.1 All payment will be taken in STERLING using the exchange rate at time of purchase online. No online access will be available, nor will print issues be despatched, until payment is received.

4. Despatch/Delivery

4.1 Electronic content will be delivered via downloadable PDF.
4.2 If you are using Microsoft Internet Explorer, we advise you to right-click the link and "save target as" to save a copy of the PDF document to your hard disk.
4.3 If you are using a different web browser, you can simply click the link and the browser will open Acrobat Reader and display the document. If you do not have Acrobat Reader, you can download it from the Adobe website. Once the document has opened, please remember to save a copy to your hard disk via the Acrobat menu. If you forget to do this you can log back into your account, view your order history and download the document again. Please note that you must download your Emerald content within 30 days from the "My Account" area.
4.4 If you run into difficulties or Emerald Shop accidentally sends you an incorrect or corrupted item, please e-mail support@emeraldinsight.com.

5. Cancellation/Refund policy

5.1 Once despatch of electronic issues has started customers cannot cancel their order. Customers will receive an email advising when their product has been despatched.
5.2 No refund will be made in any other circumstances.
5.3 Orders can be monitored via the "My Account" section of the Emerald Shop.

6. Missing content claims

6.1 Claims for missing electronic content, will be handled on an individual basis, please contact support@emeraldinsight.com for assistance.

7. Intellectual property

7.1 Copyright and all other intellectual property rights in all products and services sold by Emerald via the Emerald Shop shall belong to and continue to belong to the owners of such rights, and the customer shall not obtain any such rights or interest in such rights by virtue of purchase and receipt of any product or service.
7.2 Electronic products and services utilize third-party proprietary software to which all rights are reserved and for which limited licence to use is granted.

8. Law and jurisdiction

8.1 The contract shall in all respects be governed by and construed in accordance with English law and shall be deemed to have been made in England and the customer hereby agrees to submit to the exclusive jurisdiction of the English courts.
